Seedly Communities Monthly Giveaway Official Rules

These Official Rules (the "Rules") govern the Seedly Communities Monthly Giveaway (the "Giveaway"), a monthly promotion operated by Andrew Lee Jenkins LLC ("Sponsor," "we," "us," or "our"). By entering, you agree to be bound by these Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Giveaway. These Rules are in addition to our Terms of Service and Privacy Policy. If you do not agree, do not enter.

1. Sponsor

The Sponsor is Andrew Lee Jenkins LLC, 8401 Mayland Dr #10872, Richmond, VA 23294. The Giveaway is administered solely by the Sponsor.

2. No Purchase Necessary

No purchase or payment of any kind is necessary to enter or win. A purchase will not improve your chances of winning. There are two free ways to enter, described in Section 5, and both carry the same odds of winning.

3. Eligibility

The Giveaway is open only to individuals who are legal residents of the fifty (50) United States and the District of Columbia and who are at least eighteen (18) years old at the time of entry. Employees, contractors, officers, and directors of the Sponsor, and the immediate family members (spouse, parent, child, sibling, and their respective spouses) and members of the same household of each, are not eligible. The Giveaway is void in Puerto Rico, all other U.S. territories and possessions, and everywhere else outside the eligible area, and is void where prohibited or restricted by law. You are responsible for complying with any rules or restrictions your employer places on accepting prizes.

4. Giveaway Period

The Giveaway runs in monthly cycles. Each monthly entry period begins at 12:00:00 a.m. Eastern Time on the first day of the calendar month and ends at 11:59:59 p.m. Eastern Time on the last day of that same calendar month (each, an "Entry Period"). The Sponsor's computer is the official timekeeper for the Giveaway. The Sponsor may run, pause, skip, or end monthly cycles at its discretion, and may end the Giveaway entirely as described in Section 11.

5. How to Enter

During each Entry Period you may enter for free using either of the following methods. Both methods are free, require no purchase, and have the same odds of winning.

• Online entry form (Alternate Method of Entry). Visit seedlycommunities.com/giveaway and submit your first name and a valid email address. This method is available for the entire Entry Period and requires no purchase, no membership, and no social media activity.
• Group activity. Post or comment in the Sponsor's Facebook group during the Entry Period. The Sponsor adds active group members to the same entry pool as the online form. You are never required to share, repost, or tag anyone to enter.

Limit one (1) entry per person per Entry Period, regardless of method. If more than one entry is associated with the same person in a single Entry Period, only the first will be counted. Entries that are incomplete, illegible, use a false or invalid email, or are generated by a script, macro, bot, or other automated means are void. Use of multiple identities, email addresses, or accounts to exceed the entry limit will disqualify all of your entries.

6. Prize

One (1) prize is awarded each monthly cycle. The prize is one (1) Seedly Communities license together with a guided setup session provided by the Sponsor. The approximate retail value (ARV) of the prize is $399 (the license value). The guided setup is provided at no additional stated value. The prize is awarded as is and may not be redeemed for cash, except that the Sponsor may substitute a prize of equal or greater value if the advertised prize becomes unavailable. The prize is non-transferable, with one exception. If the winner already owns a Seedly Communities license, the winner may instead gift the prize to one (1) other person who is an eligible member of the Sponsor's Facebook group and who meets all eligibility requirements in Section 3. Any gifted prize remains subject to these Rules, and the Sponsor may verify eligibility before issuing it. All costs and expenses not expressly described as part of the prize are the winner's sole responsibility.

7. Winner Selection, Odds, and Notification

After each Entry Period closes, the Sponsor selects one potential winner at random from all eligible entries received during that Entry Period. The drawing may be conducted or displayed live, but the winning entry is chosen at random by the Sponsor. The odds of winning depend on the number of eligible entries received during the Entry Period.

The potential winner will be notified using the email address associated with the entry, and the result may also be announced in the Sponsor's Facebook group. The potential winner must respond to the notification and confirm eligibility within seven (7) days of the date the notification is sent. If a potential winner cannot be reached, does not respond within that period, is found to be ineligible, or declines the prize, the prize may be forfeited and an alternate winner may be selected at random from the remaining eligible entries, time permitting.

8. Taxes

All federal, state, and local taxes, and any other costs associated with acceptance or use of the prize, are the sole responsibility of the winner. If the total value of prizes awarded to a winner in a calendar year reaches the applicable IRS reporting threshold, the winner may be required to complete and return an IRS Form W-9 (or the applicable Form W-8 for a non-U.S. person) before the prize is released, and the Sponsor may issue an IRS Form 1099 as required by law.

9. Publicity and Privacy

Information you submit is collected and used by the Sponsor to administer the Giveaway and is handled in accordance with our Privacy Policy. Except where prohibited, accepting a prize constitutes permission for the Sponsor to use the winner's first name and city or state for promotional purposes, such as announcing the winner, without further compensation.

10. Not Sponsored by Meta

This Giveaway is in no way sponsored, endorsed, administered by, or associated with Meta, Facebook, or Instagram. You understand that you are providing your information to the Sponsor and not to Meta. Any questions, comments, or complaints regarding the Giveaway must be directed to the Sponsor, not to Meta. By entering, you release Meta, Facebook, and Instagram from any and all liability arising from or related to the Giveaway.

11. General Conditions and Limitation of Liability

The Sponsor may disqualify any entrant it reasonably believes has violated these Rules, tampered with the entry process, or acted in an unsportsmanlike or disruptive manner. The Sponsor reserves the right, at its sole discretion, to modify, suspend, or terminate the Giveaway, or any monthly cycle, if fraud, technical failure, or any other factor beyond its reasonable control impairs the integrity or proper functioning of the Giveaway.

By entering, you agree to release and hold harmless the Sponsor and its owners, officers, employees, and agents from any and all liability, claims, or damages arising out of or relating to participation in the Giveaway or the acceptance, use, or misuse of the prize. To the maximum extent permitted by law, the Sponsor is not responsible for lost, late, incomplete, misdirected, or undeliverable entries or notifications, or for any technical or network malfunction. The Giveaway and the prize are provided without warranty of any kind, express or implied.

12. Governing Law

These Rules and the Giveaway are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising from or relating to the Giveaway is subject to the exclusive jurisdiction of the state and federal courts located in Virginia.

13. Winner Requests and Contact

To request the name of a recent winner, or for any question about the Giveaway, contact the Sponsor at [email protected] within sixty (60) days after the end of the relevant monthly cycle.
