Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your purchase of Seedly CRM source code ("Product") and your use of the hosted Seedly CRM application ("Service"), both provided by Andrew Lee Jenkins LLC ("Company", "we", "us"). By purchasing the Product or using the Service, you agree to these Terms.
The Product is the Seedly CRM source code and associated documentation. Seedly CRM is a complete agency CRM that you deploy for your own business and operate for your clients through white-label client sub-accounts, with unlimited seats. The Product is sold as a one-time purchase of $1,499.
2. Source Code License Grant
Upon purchase of the Product, we grant you a perpetual, non-exclusive, non-transferable license to:
- Use, copy, and modify the source code
- Deploy the Product in unlimited personal and client projects
- Deploy the Product for your agency with unlimited seats and provide white-label sub-accounts to your clients
- Create derivative works for your own use or your clients' use
3. Source Code Restrictions
You may not:
- Redistribute, resell, sublicense, or share the source code in whole or in part
- Create a competing CRM template, boilerplate, or starter kit product using the source code
- Share your download link, license key, or access credentials with third parties
- Claim ownership of the original, unmodified source code
4. Delivery
After payment, you will receive a license key and download link via email. The download link provides access to a ZIP file containing the complete source code, setup documentation, and license file. Downloads are limited to 5 per license key. License keys do not expire. If you run out of downloads, contact support for more.
5. Product-Specific Terms - Seedly CRM
The following terms apply specifically to Seedly CRM and how it is used after purchase:
- Agency Deployments - You may operate your deployment of the Product for your own business and for your clients through white-label sub-accounts. Your clients are your customers, not ours. The Company has no contractual relationship with your clients and owes them no support, warranty, or service obligations.
- Your Communications Providers - The Product includes integrations with third-party telephony, SMS, and email providers (for example Twilio, Telnyx, SendGrid, and Postmark). You configure these integrations using your own provider accounts, under your own agreements with those providers. The Company is not a party to those agreements and does not provide telephony or email service.
- Messaging Compliance - Any calls, texts, or emails sent from your deployment are sent by you, not by the Company. You are solely responsible for compliance with applicable communications laws and carrier requirements, including the TCPA, CAN-SPAM, A2P 10DLC registration, and any consent or opt-out obligations that apply to your messaging.
6. Hosted Service Terms
If you use a hosted Seedly CRM Service we operate (such as a live demo), as opposed to a deployment of the source code you run yourself, the following additional terms apply:
- Account Security - You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account
- Acceptable Use - You may not use the Service to send unsolicited messages (spam), store illegal content, or interfere with other users' access to the Service
- Your Data - You retain ownership of all data you enter into the Service. We do not claim any intellectual property rights over the data you store in the Service
- Data Processing - We process your data solely to provide the Service. We act as a data processor on your behalf for any customer data you store in the Service. See our Privacy Policy for details on sub-processors
7. Beta Program
If you participate in a beta or early access program, you acknowledge that:
- The Service may contain bugs, incomplete features, or unexpected behavior
- Features may be added, changed, or removed without notice
- We may collect feedback, screenshots, and usage data to improve the Service
- Beta access may be revoked at any time at our discretion
- We strongly recommend maintaining your own backups of critical data during the beta period
8. UK and EU Consumers - Right to Cancel
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and the EU Consumer Rights Directive, you normally have a 14-day right to cancel a distance purchase. However, this right does not apply to digital content that has been accessed or downloaded.
By completing your purchase, you expressly consent to immediate delivery of the digital content (source code) and acknowledge that you lose your right to cancel once the download link is provided. This consent is obtained during the checkout process.
9. Ownership
Andrew Lee Jenkins LLC retains all intellectual property rights to the original source code and the Service. Your license grants usage and modification rights but does not transfer ownership of the underlying intellectual property.
10. No Warranty
The Product and Service are provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Product or Service will be error-free or meet your specific requirements.
11. Limitation of Liability
In no event shall Andrew Lee Jenkins LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Product or Service. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.
12. Third-Party Services
The Product and Service integrate with third-party services (Stripe, Twilio, Convex, Vercel, Google, Meta, etc.). Your use of those services is governed by their respective terms and pricing. We are not responsible for third-party service availability, pricing changes, or terms.
13. Updates
Lifetime updates to the source code Product are provided at our discretion. Updates will be made available through the same download mechanism. The hosted Service is updated continuously. We are not obligated to provide updates on any particular schedule or to maintain backward compatibility.
14. Termination
We may terminate your license or Service access if you violate these Terms. Upon termination of the hosted Service, your data will be available for export for 30 days, after which it will be permanently deleted. Upon termination of the source code license, you must destroy all copies of the Product in your possession. Sections 9, 10, 11, and 12 survive termination.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
16. Affiliate Disclosure
Some links in our documentation, blog, and marketing materials point to third-party products and services. Certain of these are affiliate links, which means we may earn a commission if you sign up or make a purchase through them, at no additional cost to you. We only link to tools we use or recommend, and an affiliate relationship never affects the price you pay or the substance of our recommendations.
